Governance and compliance advisory in Nigeria

Keep your company in good standing.

We help Nigerian businesses meet their obligations under CAMA 2020: annual returns, AGMs, statutory records and governance that holds up when a bank, investor or regulator comes asking. Practical advice, backed by tools that do the routine work.

Your first CAC check is free. We reply within one working day.

How we help

Most businesses get governance from one adviser, compliance from another, advice from a third and software from a fourth, and nobody joins the dots. Afrivest brings them together, so what we advise is what gets done, on time and on record.

We offer practical advisory for founders, directors and growing companies across Nigeria.

AGMs and statutory records

Common questions

What is an annual return?

A yearly filing with the Corporate Affairs Commission that confirms your current details, such as directors, shareholders and registered address. It is not a tax, and it is separate from your tax returns.

When is my annual return due?

Companies file within 42 days after each AGM (CAMA s. 421), and the first AGM is due within 18 months of incorporation (s. 237). Business names file by 30 June each year after the year of registration (s. 822). Incorporated trustees file between 30 June and 31 December each year after the year of incorporation (s. 848). The checker above works out your dates, and our annual returns guide covers the detail.

What happens if I miss it?

The company and its officers can face penalties (CAMA s. 425), and CAC may hold back post-incorporation services, such as changes to directors or shares, until your returns are up to date. Long-term default can lead to removal from the register. See late annual returns.

Does a single-member company need an AGM?

No. CAMA s. 237 exempts small companies and companies with a single shareholder from holding an AGM. What it must file each year still needs checking, so ask us.

Can late returns be brought up to date?

Yes. Outstanding returns can be filed together with the penalties due. We can review everything that is outstanding and clear it in one go.

How do I check my company's status?

CAC's free public search shows your registered details and status. Our guide to checking company status shows how, or send us your RC number and we will check it for you, free.

About Afrivest

Afrivest Governance & Advisory Limited (RC 9935010) is a Port Harcourt firm working where governance, compliance, advisory and technology meet. Our advisory work shows us where businesses struggle, and our technology turns those lessons into tools that keep records clean and obligations on time. Doing business properly should be easy.

Technology that does the routine work

Most compliance problems begin long before a filing deadline, with invoices and payments that were never properly recorded. We build software that makes good practice automatic. Talinota, our first product, lets Nigerian merchants send clean, traceable invoices on WhatsApp and get paid through Paystack. Our compliance tools are in development.

Afrivest Talinota

Send it. Watch it turn PAID. Chase the rest.

Every invoice becomes a Paystack pay link you share on WhatsApp. When your customer pays, it marks itself paid and the receipt is ready. Made for businesses that bill other businesses.

  • Pay links that match themselves. Each invoice has its own link, so every payment finds its invoice.
  • Chase in one tap. The WhatsApp reminder is already written, pay link included. You choose when to send.
  • Your day on one card. See what is overdue, what is due today and what needs a quick review.

Free to create invoices during early access. Online payments: 1%, capped at ₦1,000, plus Paystack's fee.

Talinota is the first of our tools for Nigerian businesses. More are on the way.Need advice first? Get a free CAC check
